Authorized Fundraiser Policy

Effective Date: September 23, 2021

By purchasing Products from Seeā€™s Candies, Inc. (ā€œSeeā€™sā€) for purposes of fundraising-related resale of Seeā€™s CandiesĀ® products (ā€œProduct(s)ā€) in the United States of America, you agree to the terms below in this Seeā€™s Candies, Inc. Authorized Fundraiser Policy (ā€œFundraiser Policyā€).

YouĀ may:

  • Sell Products for fundraising purposes only to end user consumers, who are the purchasers and ultimate consumers of the Product, and only make any sales that are online through Seeā€™s Yum-Raising virtual fundraising platform.

YouĀ may not:

  • Sell or transfer Products to any person or entity you know or have reason to know intends to resell the Products.

  • Sell or transfer a quantity of the Products to any individual greater than that typically purchased for personal use.

  • Sell, ship, invoice, or promote the Products outside the United States of America.

  • Offer for or sale or sell the Products on or through any website, online marketplace (including, but not limited to, Amazon, eBay, Walmart Marketplace, or Sears Marketplace), mobile application, or other online forum other than Seeā€™s Yum-Raising platform.

YouĀ agree to:

  • Conduct your fundraising efforts in a reasonable and ethical manner at all times and not make any warranties or representations concerning the Products except as authorized by Seeā€™s.

  • Comply with any and all applicable laws, rules, regulations, and policies related to the advertising, fundraising, sale, and marketing of the Products.

  • Represent the Products in a professional manner and refrain from any conduct that is or could be detrimental to the reputation of Seeā€™s or the Products.

  • Exercise due care in storing and handling the Products and shall comply with all instructions provided by Seeā€™s regarding the storage, handling, shipping, disposal, or other aspect of the Products, including instructions provided on Product labels.

  • Sell Products in their original packaging. Relabeling, repackaging (including the separation of bundled Products or the bundling of Products), and other alterations to Products or their packaging are strictly prohibited.

  • Not remove, translate, or modify any label or literature on or accompanying the Products.

  • Not tamper with, deface, or otherwise alter any identifying information on Products or their packaging.

  • Inspect the Products and their packaging for damage, defect, broken seals, evidence of tampering, or other nonconformance. promptly upon receipt of the Products. If any issues are identified, you will not sell the Product, and will promptly report any such issues to Seeā€™s at (800) 733-7123.

  • Deliver the Products to the ultimate purchaser within 30 days of receipt.

  • Not sell the Products after the expiration of the shelf-life date or if they are damaged or the quality has deteriorated for any reason.

  • Cooperate with Seeā€™s with respect to any Product recall or other consumer safety information dissemination efforts, report any complaints or adverse claims regarding the Products to Seeā€™s, and cooperate with Seeā€™s in the investigation and resolution of any Product quality issues, complaints or adverse claims.

Intellectual Property.
You agree that Seeā€™s or its licensors own all proprietary rights in and to the Seeā€™s intellectual property related to the Products (the ā€œSeeā€™s IPā€). You are granted a limited, non-exclusive, non-transferable, revocable license to use the Seeā€™s IP solely for purposes of marketing and selling the Products for fundraising purposes as set forth herein. All goodwill arising from your use of the Seeā€™s IP shall inure solely to the benefit of Seeā€™s or its licensors. Seeā€™s reserves the right to review and approve, in its sole discretion, your use or intended use of the Seeā€™s IP at any time, without limitation.
